PLEASE NOTE THAT THESE SWEEPS RULES INCORPORATE THE BITNILE.COM TOS (AS DEFINED BELOW), WHICH CONTAIN AN ARBITRATION AGREEMENT, WHICH WILL, WITH LIMITED EXCEPTION, REQUIRE YOU TO SUBMIT CLAIMS YOU HAVE AGAINST SPONSOR (AS DEFINED BELOW) TO BINDING AND FINAL ARBITRATION. UNDER THE ARBITRATION AGREEMENT, (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST SPONSOR ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, AND (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS.

BitNile.com (“BitNile.com”) is an online platform (the “BitNile.com Platform”) with a Fun and Sweepstakes Zone (the “Fun Zone”) that offers Eligible Participants (as defined below) the chance to play games for entertainment and enjoyment through the use of Nile Tokens and Nile Sweeps Coins. Nile Tokens may be used for Standard Play within the Fun Zone, and cannot be used to participate in Promotional Play Games (as defined below) and cannot be redeemed for cash or prizes. Nile Sweeps Coins, on the other hand, can be used for Promotional Play within the Fun Zone, which enables participants to play various games (each a “Promotional Play Game”, and each spin or play that may result in a participant receiving additional Nile Sweeps Coins within a Promotional Play Game, a “Sweepstakes”). Nile Sweeps Coins won through a Sweepstakes can be redeemed for cash or prizes. There are a number of ways to obtain Nile Sweeps Coins, as further set out in these BitNile.com Sweeps Official Rules (these “Sweeps Rules”).

These Sweeps Rules are to be read in conjunction with the BitNile.com Terms of Service located at (the “BitNile.com TOS”) , which is hereby incorporated herein by reference.

1. ELIGIBILITY FOR PROMOTIONAL PLAY GAMES
   1. Each Sweepstakes is only open to residents of the United States (excluding residents of Idaho and Washington), who are at least eighteen (18) years old or the age of majority in their jurisdiction (whichever occurs later) at the time of entry (“Eligible Participants”). PARTICIPATION IS VOID WHERE PROHIBITED BY LAW.
   2. Each Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. It is the sole responsibility of a participant to determine whether such Sweepstakes is legal and compliant with all regulations in the jurisdiction in which the participant resides.
   3. Participation constitutes the participant’s full and unconditional agreement to these Sweeps Rules and Sponsor’s decisions, which are final and binding in all matters related to each Sweepstakes.
   4. Winning a prize is contingent upon fulfilling all requirements set out in, and otherwise complying with all terms and conditions set forth in, these Sweeps Rules.
   5. Employees of Sponsor and its affiliates, subsidiaries, holding companies, advertising agencies, and any other company or individual involved with the design, production, execution or distribution of any Sweepstakes and their immediate family (spouse, parents, siblings and children, whether the relationship is by birth, marriage or adoption) and household members (people who share the same residence at least 3 months of the year) are not eligible to participate in any Sweepstakes.
2. SPONSOR
   The sponsor of the Sweepstakes is BitNile.com, Inc. (“Sponsor”), with an address of 11411 Southern Highlands Pkway, Suite #240, Las Vegas, NV 98141.
3. HOW TO COLLECT NILE SWEEPS COINS
   1. To participate in any Promotional Play Game, you must use Nile Sweeps Coins. To collect Nile Sweeps Coins, you must have an active account for the BitNile.com Platform (an “Account”). If you do not have an Account, you can create one free of charge at www.bitnile.com.
   2. Once you have created an Account, there are four potential ways to collect Nile Sweeps Coins:
      1. Receive Nile Sweeps Coins as a free bonus when purchasing Nile Tokens. You may receive Nile Sweeps Coins as a bonus upon the purchase of specifically marked packages of Nile Tokens. The number of Nile Sweeps Coins a participant will receive as a bonus for each relevant Nile Token purchase will be displayed on the coin package screen. After you select the package of Nile Tokens you will purchase, the amount of Nile Sweeps Coins you will be awarded as a bonus will be displayed again. All purchases of Nile Tokens are final and no refunds will be given.
      2. Receive Nile Sweeps Coins through Giveaways (as defined below). Sponsor holds no-cost social medial giveaways pursuant to which participants can win Nile Sweeps Coins (each, a “Giveaway”). You can enter a Giveaway by following the entry instructions published by Sponsor in connection with such Giveaway. By way of example, these Giveaways may require sharing one of Sponsor’s social media posts or otherwise engaging with Sponsor’s social media content. The amount of Nile Sweeps Coins given away will be stated on the applicable Giveaway post and each Giveaway winner will receive a one-time use code that can be redeemed for such Nile Sweeps Coins on the BitNile.com Platform. Each Giveaway will be governed by specific official rules associated with such Giveaway.
      3. Receive Nile Sweeps Coins by logging into your Account. You can receive free Nile Tokens and Nile Sweeps Coins on a daily basis (the “Daily Bonus”) by taking the following steps:
         1. sign into your Account;
         2. click on the “Rewards” button in the ”Action” tab;
         3. click on the “Available” tab; and
         4. click on the “Collect” button.
         You must have registered an Account with BitNile.com to claim the Daily Bonus. You can only claim a Daily Bonus once per day (the daily clock resets the daily clock resets at 016:00 PST). The amount of Nile Tokens and Nile Sweeps Coins available to a participant to claim as a Daily Bonus on any day is displayed in their Account and increases at specified intervals following a specified number of consecutive logins before resetting after seven consecutive days of claims. The Daily Bonus is only available to participants after their Account has been verified to our satisfaction, including by completion of a self-attestation form.
      4. Receive Nile Sweeps Coins by sending a request by post. You can receive free Nile Sweeps Coins by obtaining a Postal Request Code (as described below) and sending a standard post card or piece of white paper (a “Request Card”) which must be 4” x 6”, ACTIVE/122422583.13 unfolded, blank and unlined and placed inside a stamped #10 envelope addressed in handwriting to the following address and satisfying the requirements set out below:

         In order to obtain Nile Sweeps Coins pursuant to the method outlined in this clause (d), you must:

         1. handwrite your return address on the front of the envelope and the words: “Sweepstakes Credits”; and
         2. handwrite all of the following on only one side of the Request Card inserted inside the envelope:
            1. in the top-left corner, one (and only one) unique single-use Postal Request Code (see Sections 3.5 and 3.6 of these Sweeps Rules for further information);
            2. in the top-left corner, one (and only one) unique single-use Postal Request Code (see Sections 3.5 and 3.6 of these Sweeps Rules for further information);
            3. under the Postal Request Code, in the following order:
               • your full name as shown on your government issued identification;
               • the email address associated with your Account;
               • the return residential address associated with your Account; and
               • the following statement:
                 “I wish to receive Nile Sweeps Coins to participate in a Sweepstakes offered by BitNile.com. By submitting this request, I hereby declare that I have read, understood and agree to be bound by BitNile.com’s Terms of Service and Sweeps Rules.”
   3. There is a limit of one Request Card per outer envelope. For each Request Card a participant submits in accordance with the above requirements, the participant will receive 5 Nile Sweeps Coins. Any Nile Sweeps Coins collected via this method, in accordance with these Sweep Rules, will be added to the applicable Account. NOTE: A participant must ensure that their handwriting is legible. If the participant’s handwriting is not legible, the entry will be void and the Nile Sweeps Coins will not be credited to the participant’s Account. The legibility of a participant’s handwriting will be determined by Sponsor in its sole discretion. THE REQUEST MUST ONLY BE MADE BY THE PARTICIPANT AND MUST BE POSTED FROM THE SAME STATE AS THE PARTICIPANT’S VERIFIED RESIDENTIAL ADDRESS.
   4. Requests made by any other individual or any entity (including but not limited to commercial sweepstakes subscription notification and/or entering services) or posted from a State different to the participant’s verified residential address associated with such participant’s Account will be declared invalid and Nile Sweeps Coins will not be credited in such case. Tampering with the entry process or the operation of any Sweepstakes, including but not limited to the use of any device to automate the Nile Sweeps Coins request/entry process or to unfairly assist the participant with meeting the handwriting requirement, is prohibited and any requests/entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted a request or whether a request satisfies the requirements set out above cannot be resolved to Sponsor’s satisfaction, the affected request/entry will be deemed ineligible.
   5. A Postal Request Code is a unique combination of 12 digits that participants can obtain by following the steps outlined in these Sweeps Rules. A Postal Request Code is unique and can only be used once. The purpose of a Postal Request Code is to assist with the efficient and effective processing of a participant’s Request Card. A POSTAL REQUEST CODE CAN ONLY BE USED BY THE PARTICIPANT WHOSE ACCOUNT WAS USED TO GENERATE THAT POSTAL REQUEST CODE. Any participant suspected by Sponsor to have directly or indirectly provided a Postal Request Code to another person may, in the sole discretion of Sponsor, be disqualified and lose their eligibility to participate in any or all Sweepstakes or otherwise have an Account on the BitNile.com Platform.
   6. A Postal Request Code can be obtained by following each of these steps:
      1. sign into your Account;
      2. click on the “Coin Packages” button in the “Programs” menu;
      3. click on the “Play for Free” tab;
      4. click on the “Generate Postal Request Codes” button.
      The Postal Request Code is then displayed for a period of time to enable a participant to record it on their Request Card.
   7. The amount of Nile Sweeps Coins a participant has will be displayed in their Account. The amount of Nile Sweeps Coins to be allocated to participants can be changed at any time by Sponsor in its sole discretion.
   8. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected Nile Sweeps Coins requests or allocations.
   9. In the event of a dispute as to any registration of an Account, the authorized account holder of the email address used to register the Account will be deemed to be the participant. The “authorized account holder” is the natural person assigned the email address by an internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.
   10. Use of any automated or other system(s) to collect any Nile Sweeps Coins or otherwise participate in any Promotional Play Game is prohibited and will result in disqualification and loss of eligibility to participate in Promotional Play Game.
   11. Nile Sweeps Coins that are collected via one of the methods outlined in Section 3.2 above are only valid for ninety (90) days from the date a participant last logged on to his or her Account and will then automatically expire. Nile Sweeps Coins that are won through Professional Play Game will be held in the user’s Account and will not expire unless (i) the user’s Account is terminated in accordance with the Terms of Service or these Sweeps Rules, or (ii) if the user has enacted a Self-Exclusion as defined in the Responsible Gaming Policy.
   12. Nile Sweeps Coins may also be forfeited if the participant’s Account is closed for any reason or at Sponsor’s discretion.
4. HOW TO ENTER PROMOTIONAL PLAY GAMES
   1. The start date/time and end date/time of each Sweepstakes will vary per Game. Games that require a minimum number of entries will only begin when a minimum number of users register to play. Games that run on a timer can only be entered by users during scheduled times. Specific rules for when play for each Game starts and ends will be accessible by clicking on the “Game Rules” or "Help" button. To play Promotional Play Games, a participant must access the BitNile.com Platform at www.BitNile.com and sign into his or her Account. Participants with Nile Sweeps Coins can use his or her Nile Sweeps Coins to play Promotional Play Games within the Fun Zone for a chance to win additional Nile Sweeps Coins in Sweepstakes. The amount of Nile Sweeps Coins required to enter each Sweepstakes will be visible immediately next to the area in which a participant can elect to enter such Sweepstakes. A participant may be able to increase their odds of winning a Sweepstakes by entering a greater amount of Nile Sweeps Coins.
   2. Only Promotional Play Games (i.e., those played with Nile Sweeps Coins) provide the opportunity to redeem the Nile Sweeps Coins won for real prizes. Neither Nile Tokens nor any other coins used on the BitNile.com Platform can be used to play Promotional Play Games. Nile Tokens cannot be redeemed for cash or prizes.
   3. Sponsor’s decisions as to the administration and operation of any Sweepstakes is final and binding.
   4. Unless Sponsor requires otherwise, any Nile Sweeps Coins allocated to a participant are required to be used to enter a Sweepstakes once before they are eligible to be redeemed for cash or prizes. Sponsor may, in its sole discretion, require that any Nile Sweeps Coins allocated to a participant be used to enter a greater number of Sweepstakes (not exceeding 20) in any combination of Promotional Play Games before they are eligible to be redeemed for cash or prizes.
   5. Sponsor reserves the right to change the prize win rates and odds of any Promotional Play Game at any time. A participant can see the actual and any amended details for any particular Sweepstakes prior to entering by clicking on the “Game Rules” button. It is a participant’s responsibility to check the prize win rate and odds on each occasion before they enter a Sweepstakes.
   6. Nile Tokens cannot be converted into Nile Sweeps Coins, and Nile Sweeps Coins cannot be converted into Nile Tokens or any other coins on the BitNile.com Platform. Participants must use the coins in their designated areas and for their designated purposes within the BitNile.com Platform.
5. VERIFICATION AND CONFIRMATION OF POTENTIAL WINNERS
   1. POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR (IN ANY MANNER IT MAY CHOOSE) AND THE DECISIONS OF SPONSOR ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE APPLICABLE SWEEPSTAKES. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE ONLINE SCREEN INDICATES THEY ARE, UNLESS AND UNTIL THE PARTICIPANT’S ELIGIBILITY AND THE POTENTIAL WINNING PLAY HAS BEEN VERIFIED AND THE PARTICIPANT HAS FULLY COMPLIED WITH THESE SWEEPS RULES AND THE BITNILE.COM TOS AND BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER PURPORTED EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS.
   2. Sponsor may request certain information, including date of birth or age, from any potential prize winner in order to confirm eligibility. If a Sweepstakes winner chooses to redeem the Nile Sweeps Coins that he or she won for cash, Sponsor may request additional information as specified in Section 6.3. In addition, a potential prize winner may be required to sign and return to Sponsor an affidavit/declaration of eligibility and liability/publicity release (except where prohibited) in order to claim his/her prize (if applicable).
   3. If a potential winner (i) cannot be contacted, (ii) fails to properly execute and return the affidavit/declaration of eligibility and liability/publicity release within the required time period (if applicable) or otherwise fails to respond to a request for information within the required time period (if applicable, (iii) fails to comply with these Sweeps Rules or the BitNile.com TOS, (iv) is not an Eligible Participant or (v) has its prize notification returned as undeliverable, that potential winner forfeits the prize.
   4. Sponsor is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify any potential winner.
   5. In the event that a potential winner of a Sweepstakes prize is disqualified for any reason, Sponsor may, in its sole discretion, reseed the prize back into the Sweepstakes.
6. PRIZES
   1. For each Sweepstakes, you can view the number of Nile Sweeps Coins that can be won by clicking the “Game Rules” or “Help” button. Each Nile Sweeps Coin that has been won through Promotional Play Game (rather than collected using one of the methods described in Section 3 above) can be redeemed for cash or a prize (as further described below) with the value of each Nile Sweeps Coin being equivalent to US$1.
   2. A participant’s Nile Sweeps Coins balance is shown in the participant’s Account.
   3. Where a participant has chosen to redeem eligible Nile Sweeps Coins for cash, Sponsor may require that the participant provide bank account information and other verification details, such as name, date of birth, or age, prior to redemption. The participant will also be required to complete a self-attestation form in which the participant attests to the BitNile.com TOS, these Sweeps Rules, and their eligibility to participate in the Sweepstakes. The cash payment will be paid in USD to the financial account or online wallet that the participant nominates. Sponsor reserves the right to require the use of the same payment method for redemption of prizes as was used to purchase Nile Tokens, or a specific payment method at Sponsor’s discretion.
   4. Where a participant has chosen to redeem prizes for gift cards, the gift cards will be allocated to the email address associated with such participant’s Account. Sponsor may still require that the participant provide certain verification details and complete a self-attestation form prior to redemption.
   5. Sponsor will only process a prize redemption if the redeemed value of the prize is US$50 or more (i.e. a minimum of 50 eligible Nile Sweeps Coins). Consequently, a participant’s Account must have a balance of at least 50 Nile Sweeps Coins before requesting a prize redemption.
   6. For residents of New York and Florida, the maximum redemption value of the Nile Sweeps Coins won in connection with any Sweepstakes (i.e., any spin or play for which Nile Sweeps Coins may be awarded) is US$5,000. Any prize valued in excess of US$5,000 will be reduced to a maximum value of US$5,000 for residents of New York and Florida.
   7. Sponsor reserves the right, in its sole discretion, to limit a participant’s redemption of Nile Sweeps Coins to US$10,000 per day. Other limitations may apply, as set forth in the Code of Conduct located at Code of Conduct - BITNILE.COM, Inc..
   8. Sponsor is not responsible for any taxes or fees associated with a prize redemption. Participants are responsible for all applicable taxes and fees associated with prize receipt and/or redemption.
   9. Sponsor is not responsible for any foreign exchange transaction fees, charges or related costs that may be incurred as a result of, or in relation to, a prize redemption, including but not limited to any losses or additional costs arising from foreign exchange fluctuations.
   10. Nile Sweeps Coins are not transferable and no substitution will be made except as provided herein at Sponsor’s sole discretion. Sponsor reserves the right to substitute the listed prize of equal or greater value for any reason owing to circumstances outside Sponsor’s reasonable control.
   11. Prize winners will be notified by private message or email, or both.
7. ENTRY CONDITIONS AND RELEASE
   1. By participating, each participant agrees to:
      1. comply with and be bound by:
         1. the BitNile.com TOS;
         2. the BitNile.com Code of Conduct;
         3. these Sweeps Rules; and
         4. the decisions of Sponsor which are binding and final;
      2. release and hold harmless Sponsor and its parent, subsidiary, and affiliated companies, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the BitNile.com Platform and any components thereof, including any Sweepstakes, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the Released Parties) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s participation in any Sweepstakes, acceptance or use or misuse of prizes (including any travel or activity related thereto) or any other activities related to participant’s use of the BitNile.com Platform; and
      3. indemnify, defend and hold harmless Sponsor from and against any and all claims, expenses, and liabilities (including reasonable attorneys/legal fees) arising out of or relating to a participant’s participation in any Sweepstakes, acceptance, use or misuse of prizes or any other activities related to participant’s use of the BitNile.com Platform.
      For the avoidance of doubt, the foregoing is in addition to, and not in lieu of, the indemnification obligations set forth in the BitNile.com TOS.
8. PUBLICITY
   Except where prohibited, participation in a Sweepstakes constitutes each participant’s consent to Sponsor’s and its agents’ use of participant’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment, notice or consideration.
9. GENERAL CONDITIONS
   
   1. Sponsor reserves the right to cancel, suspend and/or modify any Sweepstakes or these Sweeps Rules, or any part of any Sweepstakes or these Sweeps Rules, with immediate effect owing to circumstances outside its reasonable control and only where circumstances make it unavoidable if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of any Sweepstakes, as determined by Sponsor in its sole discretion.
   2. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of any Promotional Play Game and/or specific Sweepstakes or to be acting in violation of these Sweeps Rules or any other promotion or in an unsportsmanlike or disruptive manner. ANY VIOLATION OF THESE SWEEPS RULES, THE BITNILE.COM TOS, OR THE BITNILE.COM CODE OF CONDUCT BY ANY ENTRANT MAY RESULT IN DISQUALIFICATION, AND ALL PRIVILEGES (INCLUDING THOSE AS WINNER, IF APPLICABLE) WILL BE IMMEDIATELY TERMINATED.
   3. Any attempt by any person to deliberately undermine the legitimate operation of any Sweepstakes may be a violation of criminal and civil law and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Sweeps Rules shall not constitute a waiver of that provision.
   4. In all other cases, Sponsor reserves the right to cancel, suspend and/or modify each Promotional Play Game. Any notice regarding cancellation, suspension and/or modification will be posted on the BitNile.com Platform.
   5. Whenever we amend these Sweeps Rules in a way that would limit your current rights or which may be to your detriment, we will notify you upon your next visit to the BitNile.com Platform and you will be required to re-confirm your acceptance prior to participating in any Sweepstakes. If you do not agree to the amended Sweeps Rules, you may not participate in any Sweepstakes.
10. LIMITATIONS OF LIABILITY
    
    1. Insofar as permitted by law in the applicable jurisdiction of each Eligible Participant, the Released Parties (as defined above) are not responsible for:
       1. any incorrect or inaccurate information, whether caused by a participant, printing error or by any of the equipment or programming associated with or utilized in any Sweepstakes;
       2. technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software;
       3. unauthorized human intervention in any part of the entry process or other aspect of any Sweepstakes;
       4. technical or human error which may occur in the administration or operation of any Sweepstakes; or
       5. any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant’s participation in any Sweepstakes or receipt or use or misuse of any prize.
    2. If for any reason a participant’s Nile Sweeps Coins or winning play is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, participant’s sole remedy is replacement by Sponsor of an equivalent amount of Nile Sweeps Coins.
11. DISPUTES
    The Dispute Resolution by Binding Arbitration clause of the BitNile.com TOS is incorporated herein by reference with the same force and effect as though fully set forth herein. By agreeing to these Sweeps Rules, you agree to be bound by the dispute resolution and arbitration provisions contained in the BitNile.com TOS. For the avoidance of doubt, all disclaimers, limitations of liability and other related terms in the BitNile.com TOS apply.
12. OTHER
    1. All issues and questions concerning the construction, validity, interpretation and enforceability of these Sweeps Rules, or the rights and obligations of the participant and Sponsor in connection with any Sweepstakes, are governed by, and construed in accordance with, the laws of the State of Nevada, without giving effect to any choice of law or conflict of law rules (whether of the State of Nevada or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Nevada.
    2. To ensure fairness and the integrity of the promotion to all participants, Sponsor will respond to questions sent to Customer Support via e-mail at [e-mail] and may post updates/communications on its Facebook page.
    3. Any participant posting or seen to be posting comments on any of Sponsor’s social media pages or elsewhere during a Sweepstakes that are considered bullying, spiteful or upsetting to other participants, players and fans of the BitNile.com Platform or directly aimed at Sponsor, will have their comments removed and will be disqualified from such Sweepstakes. Sponsor reserves the right to alert any applicable social media platform to any such behavior and participant may have his/her social media account frozen pending investigation.
13. WINNERS LIST
    To obtain the first name, last initial, city and state of the winner(s) of a particular Sweepstakes, Submit a request through the support portal. Requests for winners list must be received no later than ninety (90) days from the end date of the applicable Sweepstakes.
